Terms of Service

These Terms of Service (“Terms”) govern your use of the ShopSynco website and platform, operated by [TODO: registered legal entity name](“ShopSynco”, “we”, “us”). By creating an account or using the platform you agree to these Terms. If you do not agree, do not use the service.

1. Definitions

  • Platform — the ShopSynco software, dashboard, APIs and hosted storefronts.
  • Merchant — the business or person who holds a ShopSynco account and sells through a storefront.
  • Shopper— a customer who buys from a Merchant's storefront.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract. You are responsible for the accuracy of your account details, for keeping your credentials confidential, and for all activity that happens under your account. Tell us promptly at support@shopsynco.com if you suspect unauthorised access.

3. Subscriptions, billing and taxes

  • The platform is sold on subscription plans. Current plan features and prices are the ones shown at the time of purchase or quoted to you in writing.
  • Subscriptions renew automatically each billing period unless cancelled before the renewal date. Cancellation takes effect at the end of the period already paid for.
  • Fees are exclusive of GST and other applicable taxes, which are added at the prevailing rate.
  • Refunds: [TODO: refund and cancellation terms].
  • We may change prices with [TODO: notice period, e.g. 30 days] written notice; changes apply from your next billing period.
  • If payment fails we may suspend the account after [TODO: grace period].

4. Acceptable use

You agree not to use the platform to:

  • sell goods or services that are illegal in India or in the buyer's jurisdiction, including restricted, counterfeit or hazardous items;
  • infringe anyone's intellectual property, privacy or publicity rights;
  • send spam, run fraudulent transactions, or launder money through storefronts;
  • upload malware, probe or bypass our security, scrape the platform, or place unreasonable load on our infrastructure;
  • resell or white-label the platform without our written agreement.

5. Merchant responsibilities

You own and are responsible for your store content, product listings, pricing, descriptions, order fulfilment, returns and customer service. You are responsible for complying with the laws that apply to your business, including consumer protection, ecommerce, GST and labelling rules, and for publishing your own store policies to your Shoppers. You act as the data fiduciary for Shopper personal data; we process it on your behalf as described in our Privacy Policy.

6. Intellectual property

The platform, its software, design and brand remain our property. We grant you a limited, non-exclusive, non-transferable right to use it while your subscription is active. You keep ownership of the content you upload, and grant us the licence needed to host, display and back it up for the purpose of running your store.

7. Third-party services

Payments, shipping, messaging and analytics may be provided by third parties under their own terms. We are not responsible for their acts or omissions, and your use of those services is subject to their agreements with you.

8. Availability and support

We work to keep the platform available continuously, but access may be interrupted for maintenance, updates or reasons beyond our control. Any committed availability target and support response times are set out in [TODO: SLA reference or plan documentation]. 9. Suspension and termination

You may close your account at any time from the dashboard or by contacting support. We may suspend or terminate an account that breaches these Terms, that presents a security or legal risk, or that has unpaid fees. After termination we retain and delete data as set out in the Privacy Policy; export your data before closing your account.

10. Disclaimers

Except as expressly stated, the platform is provided “as is” without warranties of any kind, including fitness for a particular purpose or uninterrupted operation. We do not warrant any particular level of sales, traffic or business outcome.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential loss, or for loss of profit, revenue, goodwill or data. Our total aggregate liability arising out of or relating to the service is limited to the fees you paid us in the [TODO: liability window, e.g. 12 months] before the event giving rise to the claim. Nothing here limits liability that cannot be limited by law.

12. Indemnity

You agree to indemnify us against claims, damages and reasonable costs arising from your store content, your products, your breach of these Terms, or your breach of law.

13. Changes to these Terms

We may update these Terms as the platform evolves. We will post the revised version here with a new “last updated” date and, for material changes, notify account holders by email. Continuing to use the platform after a change means you accept the revised Terms.

14. Governing law and disputes

These Terms are governed by the laws of India. The courts at [TODO: city of jurisdiction] have exclusive jurisdiction, subject to [TODO: arbitration clause, if any].
